Do you know that the Other Party you will be having discussions with does not plan to send you their standard CDA draft for review?
Are you the only party disclosing Confidential Information?
If you answered “Yes” to any of the above questions, and the company with which you are having discussions with did not send you its standard template/draft, then there is a solution for you!
The Ohio State University’s Technology Commercialization Office (TCO) now offers the Simple CDA.
Below is the link to The Ohio State University’s Simple CDA, our new standard mutual CDA. You can:
Download the document and email it to the Other Party;
Send the Other Party a link to the document by copying and pasting the document link into an email; or
Inform the Other Party about the TCO website, and direct them to the Simple CDA download page where they can download the document on their own.
Direct the Other Party to follow the instructions on the cover page.
Finally, if the Other Party sends a signed copy back to you please make sure to forward it to TCO at firstname.lastname@example.org for finalization. Please note: Do not sign the document yourself, as all CDAs must be signed by an authorized representative from TCO.
